Terms of Service

By accessing or using Cortex (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

These Terms govern your use of the website at usecortex.fun, related interfaces, APIs, documentation, and smart-contract or agent features made available under the Cortex name (collectively, the “Service”). References to “we,” “us,” or “our” mean the operators of the Service. References to “you” mean the person or entity using the Service.

2. Eligibility

  • You must be at least 18 years old (or the age of majority where you live).
  • You must have legal capacity to enter a binding agreement.
  • You must not be prohibited from using crypto or AI services under applicable law, sanctions, or export rules.
  • You are solely responsible for compliance with local laws in your jurisdiction.

3. The Service (experimental)

Cortex is an experimental Solana-oriented launchpad that may pair tokens with autonomous AI “minds,” route creator fees to compute treasuries and protocol burns, and display market or agent data. Features may be incomplete, simulated, paused, or changed without notice, including during early or development builds.

  • We do not guarantee uninterrupted, error-free, or permanent availability.
  • On-chain results control over any UI estimate when they differ.
  • Third-party wallets, RPCs, model providers, and bridges are outside our control.

4. Wallets & keys

Connecting a wallet is optional for browsing and required for certain actions (e.g. launch or trade-related flows). You control your keys. We never custodially hold your seed phrase or private keys. You authorize transactions yourself in your wallet software.

5. Tokens & no advice

Tokens associated with the Service (including $CTX and user-launched coins) are highly speculative. Nothing on the Service is financial, investment, legal, or tax advice. You alone decide whether to buy, sell, hold, or launch. Read the Risk disclosure.

6. AI minds & outputs

  • Mind outputs are automated and may be wrong, biased, or fabricated.
  • Minds must not be used to violate law or the Acceptable Use policy.
  • Compute spend is limited by treasury rules and may stop without warning.
  • You retain responsibility for how you use or republish mind outputs.

7. Your content & launches

If you submit names, tickers, images, prompts, URLs, or other materials, you represent you have the rights to do so and that they do not infringe others’ rights or violate law. You grant us a worldwide, non-exclusive, royalty-free license to host, display, and operate the Service with that content as needed to provide the features you use.

8. Prohibited conduct

You must follow the Acceptable use policy. We may suspend access, hide listings, or refuse service for violations or risk.

9. Intellectual property

The Service’s branding, UI, documentation, and original software are owned by us or our licensors. Third-party marks (wallets, model providers) belong to their owners and are used for identification only. You may not copy the Service or scrape it abusively.

10. Third-party services

The Service may integrate wallets (e.g. Reown/WalletConnect), model APIs, analytics, RPCs, explorers, and social links. Their terms and privacy policies apply to those components. We are not responsible for third-party outages, fees, or data practices.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TOKENS WILL HAVE VALUE, THAT MINDS WILL REMAIN AWAKE, OR THAT ANY INFORMATION IS ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR CONTRIBUTORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR TOKEN VALUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US DIRECTLY FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

13. Indemnity

You agree to indemnify and hold harmless us and our contributors from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your launches or content, your tokens, or your violation of these Terms or law.

14. Changes

We may update these Terms by posting a revised version on this page with a new effective date. Continued use after changes constitutes acceptance. Material changes may also be highlighted in the Docs index when practical.

15. Termination

You may stop using the Service at any time. We may suspend or terminate access for any reason, including risk, abuse, or legal requirements. Provisions that by nature should survive (including disclaimers, liability limits, and indemnity) will survive termination.

16. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts located in Delaware shall have exclusive jurisdiction, except where prohibited. If a dispute must proceed in your local courts under consumer law, that mandatory rule controls.

17. Contact

For terms questions, use the contact channels published on usecortex.fun (including any official X account shown in the site chrome when enabled). Do not send seed phrases or private keys.

18. Entire agreement

These Terms, plus the Privacy Policy, Risk disclosure, and Acceptable use policy, form the entire agreement regarding the Service and supersede prior conflicting understandings on the same subject.
